Licensing
License Agreement for Digital Assets from Norie Anderson Photography Studio
This License Agreement ("Agreement") is a legal agreement between you ("Licensee") and [Norie Anderson Photography] ("Licensor") for the use of the digital assets provided by Licensor. By purchasing, downloading, or using the Product, you agree to the terms and conditions outlined in this Agreement.
1. Grant of License Licensor (Norie Anderson Photography) grants Licensee a non-exclusive, non-transferable, revocable license to use the Product under the terms of this Agreement. This license is for personal and limited commercial use as outlined below.
2. Permitted Uses Licensee is permitted to:
- Use the Product in personal and professional photography projects.
- Incorporate the Product into images, videos, or designs for clients.
- Use the Product for social media, marketing, and promotional materials.
3. Restrictions Licensee may NOT:
- Resell, redistribute, sublicense, or share the Product in its original form.
- Use the Product to create derivative works intended for sale or distribution (e.g., reselling the backdrops as part of another product or pack).
- Claim the Product as their own intellectual property.
- Use the Product in a way that violates any laws or regulations.
4. Ownership Licensor retains all ownership and intellectual property rights to the Product. This Agreement does not transfer any ownership rights to Licensee.
5. Refunds Due to the digital nature of the Product, all sales are final. No refunds or exchanges will be provided once the Product has been downloaded.
6. Liability Licensor is not liable for any damages, losses, or issues that arise from the use of the Product. It is the Licensee’s responsibility to ensure compatibility and suitability for their intended use.
7. Termination This Agreement is effective until terminated. Licensor may terminate this Agreement if Licensee breaches any of its terms. Upon termination, Licensee must immediately cease using the Product and delete all copies in their possession.
8. Governing Law This Agreement shall be governed by and construed in accordance with the laws Louisiana/United States without regard to its conflict of laws principles.
9. Entire Agreement This Agreement constitutes the entire understanding between Licensor and Licensee regarding the use of the Product and supersedes any prior agreements.
By purchasing, downloading, or using the Product, you acknowledge that you have read, understood, and agree to be bound by this License Agreement.
